01 Acceptance of Terms
By creating an account, downloading, or using the Orbit mobile application, web dashboard, or related services ("Service"), you are entering into a binding legal agreement with Orbit ("Orbit", "we", "us", or "our").
These Terms of Service ("Terms") govern your access to and use of the Service. If you do not agree to every provision of these Terms, you are strictly prohibited from accessing or using the Service. We may update these Terms from time to time; continued use constitutes acceptance of the modified Terms.
02 Eligibility & Accounts
Age Requirements: You must be at least 13 years old (or the minimum legal age in your jurisdiction) to use Orbit. If you are under 18, you may only use Orbit with the express consent and under the supervision of a parent or legal guardian. Purchasing a Premium subscription requires you to be at least 18 years old.
Account Security: To use Orbit, you must register via email or phone. You are solely responsible for maintaining the confidentiality of your login credentials and OTP codes. You agree to notify Orbit immediately of any unauthorized use of your account.
03 Description of Orbit Services
Orbit is a comprehensive family and friend safety platform. Our core features include:
- Circles & Friends: Private groups where location and status are shared mutually. Circle admins have administrative control over their Circles.
- Live Location & Maps: Real-time mapping of yourself and your permitted connections.
- Places & Alerts: Geofenced areas that trigger automatic arrival and departure notifications to your Circles.
- Trips & Journey History: Telemetry data tracking past movements, speed, and driving behavior.
- SOS & Panic Beacons: Instant alerts dispatched to your connections in case of emergency.
04 Location Tracking & Emergency (SOS)
Orbit's functionality is deeply tied to explicit user consent. You retain the ability to pause or revoke location sharing at any time. However, our tracking capabilities have inherent limitations.
CRITICAL WARNING: ORBIT IS NOT A REPLACEMENT FOR 911. Our SOS and emergency alert features rely entirely on your device's cellular network, Wi-Fi connection, battery life, and GPS hardware. We cannot and do not guarantee that SOS alerts will be successfully transmitted in dead zones or during hardware failures. In any life-threatening emergency, you must contact official municipal emergency services (like 911) directly.
We are not liable for any failure to transmit SOS alerts, nor for the actions or inactions of your Circle members who receive them.
05 Subscriptions, Billing & Cancellation
Orbit operates on a freemium model. Certain advanced features (e.g., extended Trip history, unlimited Places) require an Orbit Premium subscription.
- Auto-Renewal: Premium subscriptions renew automatically. Free trials will automatically convert into paid subscriptions unless canceled prior to the trial's expiration.
- No Refunds: Except where mandated by local law (such as the EU/UK 14-day cooling-off period), all subscription fees are non-refundable. There are no prorated refunds for partially used periods.
- Cancellation: You must cancel your subscription through the platform where you purchased it (Apple App Store or Google Play). Deleting the Orbit app or leaving a Circle does NOT cancel your subscription.
06 Content & Intellectual Property
Orbit owns all rights, title, and interest in the Service, including the visual UI, codebase, and brand assets. You retain ownership of the data and content (like profile pictures) you upload. However, by using Orbit, you grant us a worldwide, royalty-free license to use, host, and display that content solely for the purpose of operating and improving the Service. Any feedback or feature suggestions you provide become the property of Orbit without compensation to you.
07 Acceptable Use Policy
Orbit is built on trust. You strictly agree NOT to:
- Use the Service to stalk, harass, abuse, or track any individual without their explicit, ongoing legal consent.
- Reverse engineer, decompile, or attempt to extract source code from the Orbit app or our APIs.
- Use automated scripts, bots, or scrapers to extract location metadata from our servers.
- Impersonate any person or entity, or falsify your identity or location.
08 Disclaimer of Warranties
THE ORBIT SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE EXPRESSLY DISCLAIM ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT LOCATION TRACKING WILL BE 100% ACCURATE OR THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.
09 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ORBIT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE. IN NO EVENT SHALL ORBIT'S AGGREGATE LIABILITY EXCEED THE AMOUNT YOU PAID TO ORBIT IN THE PAST SIX MONTHS.
10 Dispute Resolution & Arbitration
Mandatory Arbitration: Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding, individual arbitration, rather than in court. You waive your right to a trial by jury.
Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
Opt-Out: You have the right to opt out of this arbitration clause by emailing info@nexasmartai.org within 30 days of first accepting these Terms.
11 Termination
We reserve the right to suspend or permanently terminate your account and access to the Service at our sole discretion, without notice, for any conduct that we believe violates these Terms of Service or is harmful to other users, us, or third parties.
